COMMERCIAL REAL ESTATE
  • Represented developers on a range of developments throughout BC, including boutique townhouse projects and large scale mixed-use condo developments. Representation included acting for the acquisition of property, development of the project and sale of individual strata lots. Development work included drafting disclosure statements, facilitating development applications, and drafting and negotiating development charges in favor of the applicable municipality or authority, neighbors and utility providers.
  • Counselled both landlords and tenants in drafting, reviewing and negotiating leases with respect to office tenancies, industrial tenancies, retail tenancies, and cannabis tenancies.
  • Assisted two real estate investment and management funds with the acquisition of various properties throughout BC, including apartment complexes, commercial buildings, mixed-buildings, industrial facilities, self-storage businesses, and long-term care homes. Scope of assistance included due diligence, acquisition, post-closing management and borrowing for either acquisition financing or post-closing refinancing.
  • Assisted a real estate investment and management fund create template leases for all of its industrial, retail and office properties.
  • Assisted a large format department store operator navigate title and zoning issues for various stores throughout BC, specifically contemplating use restrictions applicable through charges on title and through the relevant zoning bylaws.
LENDING MATTERS
  • Assisted institutional lenders with various acquisition, mezzanine and construction loans, which includes providing loan structuring advice, facilitating closing and registering security.
  • Represented a collateral agent in holding security as agent on behalf of various debentureholders, which includes providing advice regarding security obtained and agency arrangement between the agent and other lending parties.
  • Represented a private lender in the provision of bridge loans to developers, which includes providing loan structuring advice, facilitating closing and registering security.
  • Acted as borrower’s counsel for various acquisition, mezzanine and construction loans, including deposit protection facilities, for real estate development clients.
CONSTRUCTION MATTERS
  • Represented both developers and general contractors on the negotiation and drafting of construction agreements, including various CCDC forms, for townhouse, condo, and industrial development projects.
  • Drafted both Part 1 and Part 2 of the operations and management agreement, along with ancillary bid documents, for a shortlisted bidder on a major BC infrastructure project.
OTHER MATTERS
  • Assisted on a US$300 million dollar secured note financing for a NYSE listed company.
  • Assisted a real estate investment and management fund with the reorganization of its Canadian asset ownership structure. Assistance included dealing with British Columbia property and corporate reorganizational matters, and coordinating with outside counsel for all other applicable jurisdictions.
